- VOEC Registration
VOEC registration
The VOEC (VAT On E-Commerce) scheme allows goods and services to be sold to Norway without complicated customs procedures if the goods are below a certain value.
From 1 January 2023, the scheme will also apply to services such as legal and consulting services. It is important to keep your registrations up to date, as Norway carries out regular checks and failure to register can result in fines.
Remember to mark all shipments with the VOEC identification number.
NUF company
An NUF company offers many advantages for companies that want to establish themselves in the Norwegian market without setting up an AS, which requires a more financially demanding and much more cumbersome process. With an NUF company you can, among other things, order a Norwegian domain, avoid tax accounting obligations, complete a simple process for registering HSE cards for employees travelling to Norway for work, and not least a simplified process for Klarna payment solutions and customs clearance of goods going to Norway.
What's also important is that you don't need to have a Norwegian postal address. You use the one linked to the main company in Denmark, which will be the owner of the NUF company.
The process takes between 4-6 weeks.
AS company
A Norwegian AS company is a good choice if your business needs a more extensive presence in Norway. AS companies are particularly suitable if you need a physical warehouse, an office or special export licences. The choice between an NUF and an AS company depends largely on what activities your business will carry out and what the market demands.
We can help you get an overview of the pros and cons of the different types of companies so you can make the best decision for your business.
Registration of NUF company
NUF requires no initial capital and allows you to operate in Norway via a foreign parent company, but the owner is personally liable through the parent company.
Learn about the process here:
-
Registration in the Register of Legal Entities
Submit proof of the parent company's existence, including the company's articles of association, incorporation documents and financial statements, if applicable. Once the registration is approved, an organisation number is assigned.
-
Web domain registration
Once you have a Norwegian organisation number, you can register a .no domain through an authorised domain registrar. Make sure the domain name is customised for the Norwegian market.
-
Ordering HSE cards (if applicable)
If your company operates in industries such as construction or cleaning, HSE cards are required by law. Ordering requires the company to be registered in the Register of Legal Entities and as an employer (if there are employees). The cards are ordered online via the Labour Inspection's platform.
-
VOEC registration (if applicable)
If your business sells goods or services via e-commerce, VOEC registration can simplify VAT reporting and eliminate complicated customs procedures for goods under 3,000 NOK.
-
VAT registration
If the expected turnover exceeds NOK 50,000 annually, the company must be registered for VAT. This can be done in connection with registration in the Register of Legal Entities.
-
Commercial rental (if applicable)
If your business needs physical space, we help you find a suitable location through our network of partners.
-
Create Norwegian bank account
A Norwegian bank account makes it easier to handle payments and VAT settlements.
-
Employee registration (if applicable)
If your business has employees, it must register as an employer and meet the requirements for payroll reporting, tax and labour charges.
Registration of an AS company
Choose AS if you want limited liability and are planning larger activities. AS requires a minimum start-up capital of NOK 30,000.
Learn about the process here:
-
Draft articles of association and founding documents
Document the company's purpose, ownership and management structure. These documents are required in order to register the company.
-
Create Norwegian bank account
Create a Norwegian bank account to be used to deposit the initial capital. The account also makes it easier to handle payments and VAT settlement.
-
Deposit of start-up capital
Deposit a minimum of NOK 30,000 into the established Norwegian bank account. Alternatively, the capital contribution can be confirmed by an accountant.
-
Registration in the Register of Legal Entities
Submit articles of association, founding documents and proof of capital contribution. After registration, an organisation number is assigned.
-
Web domain registration
Once you have received an organisation number, you can register a .no domain via an authorised domain registrar.
-
Ordering HSE cards (if applicable)
If the company operates in industries such as construction or cleaning, HSE cards are required. These are ordered online via the Danish Labour Inspection Authority when the company is registered in the Register of Legal Entities.
-
VAT registration (if applicable)
With an expected turnover of over NOK 50,000 annually, VAT registration is mandatory. This is typically done as part of the registration in the Register of Legal Entities.
-
Commercial rental (if applicable)
If you need physical space, our partners will help you find a suitable location.
-
Employee registration (if applicable)
If your company has employees, you need to register it as an employer to comply with Norwegian wage, tax and labour regulations.
