How to choose the right company form in Norway?

When Danish companies want to establish a business in Norway, there are two main types of companies that are most applicable: NUF (Norskregistrert Utenlandsk Foretak) and AS (Aksjeselskap).

NUF (No Capital Creation)

This form of business is ideal in conjunction with:

  • Norwegian VAT number for more economical shipping and customs clearance.
  • Issuing Norwegian invoices.
  • HSE card (Health, Safety and Environment).
  • Sales to B2B companies in Norway.
  • Creating a Norwegian domain.

What is an NUF? An NUF company is a type of company where a foreign company registers a branch in Norway. This can be used by Danish companies under the following circumstances:

  • Market expansion: The NUF structure allows Danish companies to establish themselves in the Norwegian market without setting up a new company, providing easier and faster access to operate in Norway.
  • Tax advantages: Some companies may benefit from potentially more favorable tax conditions in Norway. This requires a careful consideration of the tax rules in both countries.
  • Administrative benefits: Setting up an NUF can be administratively simpler than setting up an independent company in Norway, with fewer equity requirements and less complex procedures.
  • Accounting benefits: You only need to submit accounts in Norway if you have a turnover of over NOK 6 million.

AS (Capital creation 30.000 NOK)

AS is one of the most common business forms in Norway, especially if you have an office or employees.

  • Minimum share capital is NOK 30,000.
  • AS is an independent legal entity.
  • Taxable to account and pay tax in Norway.
